ARTICLE I: NAME, NATURE, AND PURPOSE
    Section 1:
    Name
    The name of this organization shall be the MIDWEST CITY LACROSSE CONFERENCE, hereinafter referred to as the MCLC.
    Section 2:
    Nature
    The MCLC shall be an association of MIDWEST CLUB LACROSSE ASSOCIATION (MCLA) member teams who wish to ally themselves with the purpose of the MCLC. The MCLC is a subordinate division of the MCLA, therefore, except where otherwise specified, the MCLA Constitution shall have priority over MCLC charter documents. MCLA By-Laws shall have priority only over issues not addressed by the MCLC charter documents.
    Section 3:
    Purpose
    It shall be the purpose of the MCLC to unite all of the highest caliber amateur field lacrosse clubs in the general area of the Midwest into a single group which annually competes in a common regular season and season-ending playoff tournament to deter-mine a single, and undisputed “Midwest Club Lacrosse Champion”.

ARTICLE II: MEMBERSHIP
Section 1:
Maintaining “Membership in Good Standing”
Every MCLC member club agrees to:

  1. Properly maintain its membership of the MCLA.
  2. Pay the annual MCLC dues as set forth in the Rules and Regulations.
  3. Participate in every Annual Championship Tournament should it qualify
  4. Pay the entry fee for every Annual Championship Tournament in which it participates.
  5. Assign a Representative to the Board of Representatives (ARTICLE III)
  6. Be familiar with, and agree to abide by the Constitutions, By-Laws, and Rules and Regulations of the MCLC and MCLA.
Section 2:
New Member clubs
To gain membership in the MCLC an amateur lacrosse club must: a. Be (or become) a member in good standing of the MCLA. b. Acquire a favorable vote of no less than two-thirds of a private ballot cast by all of the members of the Board of Representatives.
Section 3:
Removal of Member clubs
A member club will be removed by a vote of no less than two-thirds of a private ballot cast by all of the members of the Board of Representatives.

ARTICLE III: BOARD OF REPRESENTATIVES
Section 1:
Duty of Board of Representatives
The duty of the Board of Representatives is to govern the MCLC.
Section 2:
Number of representatives
The Board of Representatives shall consist of one Repre-sentative from each member club. It is encouraged, though not required, that a member club’s representative be either that club’s president or other ranking officer.
Section 3:
Term of Representatives
An individual’s term as a Representative shall be indefinite, ending only when he or she is replaced by that member club.
Section 4:
Voting Eligibility – “One Club – One Vote”
At MCLC meetings each member club will have one vote which can be cast only by that club’s representative.
Section 5:
Duties of Representatives
It shall be the duty of each member club’s Representative to:
  1. Attend (or send an alternate to) the Annual Meeting if his or her club is participating in the Annual Championship Tournament.
  2. When his or her club is not participating in the Annual Championship Tournament, forward proxy votes on Annual Meeting agenda items to the MCLC Secretary if desired.
  3. On a weekly basis during the regular season, promptly forward to the Secretary the results and statistics of his club’s MCLC games.
  4. See to it that his or her club’s responsibilities as outlined by the MCLC Constitution, Bylaws, and Rules and Regulations are properly met.

ARTICLE IV: MEETINGS OF THE BOARD OF REPRESENTATIVES
Section 1:
Annual Business Meeting
There shall be an Annual Business Meeting which will be held on the weekend of the Annual Championship Tournament in a location at or near the site of that event.
Section 2:
Attendance Requirement
All clubs participating in the Annual Championship Tournament will be required to have their Representatives in attendance at that year’s Annual Meeting. Attendance at the meeting is encouraged but not required for clubs not participating in the tournament. The MCLC Secretary will make arrangements for non-attending clubs to vote by proxy on expected agenda items.
Section 3:
Rules of Order
The rules of order in Robert’s Rules of Order, Revised, shall govern the MCLC in all cases to which they are appli-cable and not inconsistent with the MCLC Constitution and Bylaws.
Section 4:
Passage of Board “decisions”
A declaration, rule, regulation, or other active “decision” made by the Board will become “in effect” and a part of the “Rules and Regulations of the MCLC” upon approval by a simple majority of a quorum (Section 5) of Representatives “present” (Section 6).
Section 5:
Quorum
At all Board meetings, a quorum is achieved when two-thirds of the total number of Representatives are “present” as defined in Section 6.
Section 6:
Definition of “present” for the determination of a majority
For each vote taken, a Representative is considered “present” if:
  1. The Representative is literally in attendance – even if abstaining on that particular item.
  2. The Representative has entered a vote by proxy with the Secretary on that particular item.
Section 7:
Agenda items
Agenda items may be submitted to the Secretary by any Representative on the Board, the Commissioner, Assistant Commissioner, or any officer of the MCLC at any time. Items submitted in time for the prepared meeting agenda will normally be discussed and voted upon before items raised during the course of the meeting.
The following shall be agenda items in every Annual Meeting:
  1. Approval of the location for the next Annual Championship Tournament (ARTICLE VII, Section 3).
  2. Nomination and election of new MCLC Officers (ARTICLE V, Section 4).
Section 8:
Welcome Attendees, Speakers and Guests
Any individual currently affiliated with a member club is welcome to attend and participate in MCLC meetings. Speakers and guests may be invited to general meetings by any representative by notifying the President.
Section 9:
Special Meetings/Ballots
Special Meetings may be held at the call of the President or at the call of the Secretary upon the written request of two-thirds of the Conference membership. A meeting may be as simple as a ballot on one issue where member representatives may place their votes by proxy (by phone, mail, or other) with the Secretary.

ARTICLE V: OFFICERS
Section 1:
Titles
The Officers of the MCLC shall consist of President, Vice Presidents – one for each MCLC division [June 5, 1993], Treasurer, Secretary, Commissioner and Assistant Commissioner.
Section 2:
The Executive Committee
The Executive Committee shall consist of the President, Vice Presidents, Treasurer, and Secretary. Duties of the Executive Committee shall be:/FONT>
  1. Settle disputes between member clubs, especially where such disputes could result in a forfeit. When such a dispute cannot be solved by the Committee (perhaps do to deadlock or conflict of interest), it shall be forwarded to the Commis-sioner for a binding decision.
  2. Approve the Assistant Commissioner that will be appointed by the Commissioner.
Section 3:
Eligibility
Anyone currently affiliated with a member club may hold the office of President, Vice President, Treasurer and Secretary. Qualified individuals not affiliated with any member club may hold the offices of Commissioner and Assistant Commissioner.
Section 4:
Election of Officers
The Officers shall be nominated and elected as the last item of business at the Annual Meeting. A candidate is elected by a simple majority of the Representatives “present” and cons-tituting a quorum (ARTICLE IV; Sections 4, 5, and 6).
Section 5:
Term of Office
All Officers shall be elected for a one year term. That term begins upon adjournment of the Annual Meeting and ends upon adjournment of the following Annual Meeting.
Section 6:
Removal of Officers
An individual will immediately be removed from office prior to the end of his or her term upon a two thirds vote in a special meeting/ballot (ARTICLE IV, Section 9) of all members of the Board of Representatives.
Section 7:
Duties of the President
It shall be the duty of the President to:

  1. Preside at all MCLC meetings.
  2. With the Executive Committee, help prepare the agenda for the Annual Meeting.
  3. Appoint, for Board approval, the Commissioner.
  4. Appoint, for Board approval, the replacement of any other officer should any of them be unable to complete their term.
  5. See that the MCLC Constitution, Bylaws, and Rules and Resolutions are abided by.
  6. See that all rules and regulations of the MCLC are executed.
  7. When faced with issues not raised during the Annual Meeting, nor considered in the MCLC Cons-titution, Bylaws, or Rules and Resolutions, determine the magnitude of those issues and/FONT>
  8. Appropriately deal with those issues by either
    1. making a unilateral executive decision,
    2. bringing the Executive Committee to a decision, or
    3. calling a special meeting/ballot to obtain a decision by the Board of representatives.
  9. Represent the entire MCLC at the MCLA Annual Meeting.
  10. Exercise general supervision over the MCLC.
  11. Perform such other duties that pertain to the office.
  12. Exercise above tasks with the intention of protecting and furthering the interests of the MCLC and its members.
Section 8:
Duties of Vice Presidents
It shall be the duty of the Vice Presidents to:
  1. Assume the office of Co-President should the current President be unable to complete his or her term.
  2. Assist the President in his duties when called upon.
  3. Temporarily perform any of the duties of any of the other officers if either of them is unable to do so.
  4. Be responsible for, and enlist assistance in, the promotion of MCLC lacrosse through newspaper and magazine write-ups and other media.
  5. Be co-responsible with the Secretary for the prompt submis-sion of an annual season wrap-up article to Lacrosse Magazine. (Tournament directors may actually perform this function, but officers should still see to it that it is indeed handled.)
  6. With the Executive Committee help prepare the agenda for the Annual Meeting.
  7. Exercise above tasks with the intention of protecting and furthering the interests of the MCLC and its members.
Section 9:
Duties of the Secretary
It shall be the duty of the Secretary to:
  1. Keep a record of all minutes of meetings of the MCLC and of the Executive Committee.
  2. Properly update the Constitution, Bylaws, and Rules and Regulations as called for by resolutions passed in Board meetings – and promptly distribute these changes to all Representatives, the Commissioner and Assistant Commis-sioner, and the President of the MCLA.
  3. Issue all notices from the MCLC to its members.
  4. With the Executive Committee help prepare the agenda for the Annual Meeting.
  5. Keep an up-to-date record of each member club’s Repre-sentative and other club contacts.
  6. Collect, and keep on file member club rosters and letters of intent, and forward said rosters to the MCLA Secretary.
  7. Collect and keep an accurate record of results and sta-tistics from all MCLC games.
  8. Keep an up-to-date record of the current MCLC standings.
  9. During the regular season, weekly forward the current standings and game results to all MCLC member clubs.
  10. Be Co-responsible with the Vice President for the prompt submission of a season wrap-up article to Lacrosse Magazine. (Tournament directors may actually perform this function, but officers should still see to it that it is indeed handled.)
  11. Exercise above tasks with the intention of protecting and furthering the interests of the MCLC and its members.
Section 10:
Duties of the Treasurer
It shall be the duty of the Treasurer to:
  1. Receive all of the funds of the MCLC and credit the same to the account of the MCLC.
  2. Pay all bills of the MCLC less than $50 without the approval of the President or the Board.
  3. With the approval of the President, pay all bills of the MCLC for amounts less than $150 and not pertaining to the Annual Championship Tournament.
  4. With the approval of the Board, pay all bills of the MCLC for amounts greater than $150 and not pertaining to the Annual Championship Tournament.
  5. With the Executive Committee help prepare the agenda for the Annual Meeting.
  6. Perform the function of Treasurer for the Annual Cham-pionship Tournament.
  7. Assist Tournament directors and host club on matters of budgeting, and accounting.
  8. Keep a correct account of all moneys received, disposed of and held for the account of the MCLC and report with respect thereto to the Annual Meeting and, as may be requested from time to time, to the President, the Executive Committee, or the Tournament Directors.
  9. Exercise above tasks with the intention of protecting and furthering the interests of the MCLC and its members.
Section 11:
A “Tradition” of the Treasurer
Whereas, the primary use of MCLC funds is the successful pro-duction of the Annual Championship Tournament and;
Whereas, the MCLC account is to be used in the collection and expenditure of funds used in the production of the Tournament and;
Whereas, one of the duties of the Treasurer is to act as Treasurer for the Annual Championship Tournament, then;
As a matter of convenience it should therefore be a “tradition” but not a requirement that the office of MCLC Treasurer be held by an individual who is associated with the organization that will host the Tournament during his or her term of office.
Section 12:
Duties of the Commissioner
The duties of the Commissioner shall be:

  1. To understand the Constitution, Bylaws, Rules and Regu-lations, and general intentions of the MCLC so that he may properly;
  2. Settle disputes between member clubs that are not settled by the Executive Committee.
  3. To attend the Annual Meeting.
  4. To vote at Board meetings only when the Board is deadlocked.
  5. Appoint, for Executive Committee approval, the Assistant Commissioner.
Section 13:
Duties of the Assistant Commissioner
The duties of the Assistant Commissioner shall be:
  1. To understand the Constitution, Bylaws, Rules and Regu-lations, and general intentions of the MCLC so that he may properly;
  2. Assume the position of Commissioner should the Commissioner be unable to complete his or her term.
  3. Temporarily perform the duties of the Commissioner when he or she is unable to do so.
Section 14:
A “Tradition” of the Commissioner and Assistant Commissioner
Whereas, the Commissioner settles major disputes between member clubs and accordingly is an individual not affiliated with any member club; and is required to attend the Annual Meeting then;
It is therefore logical that an individual qualified to assume the position of Commissioner must be an individual closely involved in Midwest lacrosse. It shall be a “tradition” but not a requirement that the Commissioner and Assistant Commissioner be persons who are high ranking and/or experienced members of any of the several referee organizations operating in our region. It would be convenient for such individuals to attend the Annual Meeting as they would already be in atten-dance at the Tournament as a participating referee.

ARTICLE VI: USES OF THE MCLC TREASURY ACCOUNT
Section 1:
Receiving Account for all payments to the MCLC
The Treasury shall be the receiving account for the following: a. Member clubs’ entry fee for the Championship Tournament. b. Cash payments made by any MCLC general sponsors. c. Cash payments made by any MCLC Championship Tournament sponsors. d. Any miscellaneous cash payments to the MCLC.
Section 2:
Source of funds for MCLC expenditures
The Treasury shall be the source of funds to pay the following MCLC expenses: a. Costs associated with the production of the Championship Tournament not directly paid by any Tournament sponsors. b. Purchase/engraving/maintenance of the permanent MCLC Championship Trophy. c. Purchase of special awards (e.g. MVP’s, etc.)
Note: Costs incurred over the course of the regular season (distribution of notices, updates in standings, etc.; collection of results, statistics, proxy votes, etc.) are reimbursable from the MCLA treasury.

ARTICLE VII: ANNUAL CHAMPIONSHIP PLAYOFF TOURNAMENT
The MCLC shall conduct a Championship Tournament following every regular season in accordance with the following:
Section 1:
Midwest Club Champion
The winner of the Annual Championship Playoff Tournament shall claim the MCLC Championship. No other member club shall publicly dispute this title. No other member club shall make any public claim to any other “Midwest” region Championship.
Section 2:
Tournament Finance through MCLC Treasury
All cash transactions related to the production of the Tour-nament shall be made through the MCLC Treasury (ARTICLE VI, Section 1 parts b. and d., ARTICLE VI, Section 2 part d.)
Section 3:
Determination of Tournament Location
The Tournament location shall be approved by the Board at the Annual Meeting. (i.e. location to be approved one year in advance)
Section 4:
Host qualifications
To qualify as a Host for the Annual Championship Tour-nament, an appropriate organization must arrange for: a. At least two good quality playing fields. b. A facility adequate for the site of the Annual Meeting. c. Playing fields and meeting site within reasonable physical proximity of each other. d. An adequate sponsorship arrangement which allows for participating member club entry fees to be kept reasonably low.
Section 5:
Host responsibilities
The Tournament Host agrees: a. To provide/appoint Tournament Directors and Producers. b. To recruit necessary ball retrievers, timekeepers, score-keepers, and etc.

ARTICLE VIII: TROPHIES AND AWARDS
Section 1:
Permanent MCLC Championship Trophy
Each season, the Treasurer shall be responsible for the engraving of the MCLC Championship Trophy. The Championship Trophy shall be of stature worthy of its signi-ficance and shall be properly engraved. The Permanent Championship Trophy shall be awarded to the Champion immediately upon completion of the Championship Tournament – however, this permanent trophy will stay in the possession of the Tournament directors. The MCLC shall pay for the engraving of the Champion Club’s name on the trophy.
Section 2:
Annual MCLC Championship Trophy
Each season the MCLA provides for trophies to be awarded to the winners of each of its divisions. As the MCLC is equivalent to an MCLA “division”, the MCLA will therefore also provide the “take home” trophy for the MCLC Champions.

ARTICLE IX: AMENDMENTS TO THE CONSTITUTION, BYLAWS
  • The Constitution and Bylaws may be amended by two-thirds vote of all of the members of Board of Representatives. Such a vote may be taken at the Annual Meeting or in a special meeting/ballot (ARTICLE IV, Sec. 8).
